Digital Course Terms and Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the online course(s), digital products, and related materials (collectively, the “Course”) provided by Nicole Flowers (“we,” “us,” or “our”).
By purchasing, accessing, or using the Course, you agree to be bound by these Terms.
Eligibility
You must be at least 18 years old to purchase or access the Course.
Course Access and Use
Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access the Course for your personal, non-commercial use only.
You may not share, reproduce, resell, distribute, or allow others to access the Course or your account.
We reserve the right to revoke or terminate your access to the Course at any time, without refund, if you violate these Terms.
Enrollment in the Course is for the original purchaser only and may not be transferred or assigned to another person.
Course Access Duration
Your enrollment in the Course includes access to the Course materials for a period of six (6) months from your date of purchase, unless otherwise stated in writing.
After the 6-month access period ends, your access to the Course platform, lessons, recordings, and downloadable materials will expire.
We reserve the right to modify or remove Course content at any time.
Intellectual Property
All content included in the Course is the sole and exclusive property of Nicole Flowers and is protected by copyright, trademark, and other applicable intellectual property laws.
This includes, but is not limited to, all videos, recordings, live session replays, lesson materials, worksheets, templates, written content, graphics, frameworks, exercises, and any other proprietary materials provided through the Course.
By purchasing or accessing the Course, you are granted a limited, revocable, non-transferable license for your personal use only.
You are not purchasing the Course content itself, and you are not granted any right to reproduce, distribute, teach, republish, upload, sell, license, or otherwise share any part of the Course.
You may not:
Copy or record the Course materials
Share Course logins or materials with others
Use Course content to create your own program, training, or materials
Sell or distribute any portion of the Course
Any unauthorized use of the Course materials is considered a violation of these Terms and may result in termination of your access and legal action to protect our intellectual property.
Payment and Pricing
All prices are listed in U.S. dollars.
We offer the following enrollment options:
Standard Tier: $457
All-Access Tier: $947
Payment is due in full at the time of purchase unless an approved payment plan is selected. Failure to complete payments may result in suspension or termination of access.
We reserve the right to update pricing at any time for future enrollments.
Refund Policy
Due to the digital nature of the Course, all sales are final.
Testimonials and Marketing Use
By participating in the Course, you agree that any comments, testimonials, feedback, posts, messages, or other communications you voluntarily share within the Course platform, community spaces, live sessions, or via email or chat may be used by Nicole Flowers for educational and marketing purposes.
This may include written testimonials, audio or video recordings, screenshots, or images that you submit or share in connection with your experience in the Course.
We will never disclose your full name or identifying details without your permission. If we wish to use your name, likeness, or more detailed personal information, we will request your consent prior to doing so.
You retain ownership of your content, but you grant us a perpetual, royalty-free, worldwide license to use, display, and share your submitted materials for the purpose of promoting or improving the Course.
Confidentiality
You agree to keep the Course materials and all related content confidential and not share, reproduce, or distribute any portion of the Course outside of your own personal use.
This includes all proprietary frameworks, processes, worksheets, strategies, and teaching methods provided as part of the Course.
In addition, you agree to respect the privacy of other Course participants. Any personal information, stories, discussions, questions, or shared experiences within the Course platform, community, or live sessions must remain confidential and may not be shared outside of the Course.
This confidentiality obligation applies during and after your participation in the Course.
Violation of this section may result in termination of your access to the Course.
Community Guidelines
You agree to participate respectfully and professionally within the Course and its community spaces. Harassment, discrimination, or disruptive behavior may result in removal from the Course without refund.
No Guarantees and Personal Responsibility
We make no guarantees regarding specific results, job outcomes, promotions, or income. Your results depend on your own effort and circumstances.
You acknowledge that your results from the Course are dependent on your own effort, commitment, background, and application of the material.
We do not guarantee any specific outcome, and the success of other participants is not a promise or representation of what you will achieve.
You agree that you are solely responsible for the decisions you make and the results you create from your participation in the Course.
Disclaimer of Warranties
The Course is provided “as is” and “as available,” without warranties of any kind.
We do not guarantee uninterrupted or error-free access.
We are not responsible for technical issues, platform outages, or internet disruptions beyond our control.
Limitation of Liability
To the fullest extent permitted by law, Nicole Flowers shall not be liable for any damages arising from your participation in the Course.
Our total liability shall not exceed the amount you paid for the Course.
Dispute Resolution
We are committed to resolving any concerns in a fair and efficient way. Before pursuing formal legal action, you agree to first contact us in writing at nicole@nicoleflowers.com to attempt to resolve the issue informally.
If a dispute cannot be resolved informally, you agree that any claim or controversy arising out of or relating to the Course or these Terms shall be resolved through binding arbitration in the State of California, rather than in court.
Arbitration shall be conducted by a single neutral arbitrator and administered by a recognized arbitration provider. The arbitration will take place in San Francisco, California, and the decision of the arbitrator shall be final and binding.
You agree that:
Arbitration will be conducted on an individual basis only, not as part of a class or representative action
Each party will bear its own legal fees and costs unless the arbitrator determines otherwise
The prevailing party may be entitled to recover reasonable attorneys’ fees and costs
By agreeing to arbitration, you understand that you are waiving your right to a trial by jury or to participate in a class action.
Governing Law
These Terms are governed by the laws of the State of California.
General Legal Provisions
Indemnification
You agree to indemnify, defend, and hold harmless Nicole Flowers from any claims, liabilities, damages, losses, or expenses arising out of your misuse of the Course, your violation of these Terms, or your infringement of any rights of a third party.
Entire Agreement
These Terms constitute the entire agreement between you and Nicole Flowers regarding the Course and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce that provision in the future.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, labor disputes, internet outages, governmental actions, war, pandemics, or other unforeseen events.
